the second one isn't of the form 

<BODY BACKGROUND=pic.gif BGPROPERTIES=fixed>

it is of the form 

<BODY BACKGROUND=folder/pic.gif BGPROPERTIES=fixed>

such that the illegal character in the BACKGROUND attribute '/' means any 'end of attribute' detection is fooled (that's without me knowing anything about the code that does it).

if you take out the / you will get the 
Line 7, column 110:  there is no attribute "BGPROPERTIES"
