No, XHTML5 is well-formed XML.

We can say:

HTML5 is not XML, and it can make its own rules about how
documents should be processed. If a tool is using an XML processor to
process an XHTML5 (XML serialization of HTML5)
document, it should probably not use validation mode as there is no
reasonable DTD for XHTML5, but that is not something for the XML spec to
address.
