whoops.  just figured out how to respond in the thread.

thanks so much for your help.  i got a lot of the same response.  i had seen 
the ampersand thing, but i guess i just didn't realize that it might apply 
to this situation.  :/  yeah, my code validates now.

now if i could just get the css validator to accept the filter and scrollbar 
tags.
