Validation Query

Greetings,

Can someone explain to me why:

<DIV><H3>Foo</H3></DIV>

validates under HTML 4.01 Transitional, where as:

<SPAN><H3>Foo</H3></SPAN>

does not?

Forgive me if the above actually rendered instead of displaying code.
