No, the 2nd one isn't legal, but if you meant to write:

  <mex:Dialect Type="wsdl:definitions"/>
</mex:GetMetadata>

then yes.

I think I know the answer to this, but thought I would verify this: are 
the following two GetMetadata requests semantically equivalent?

  <mex:Dialect Type="wsdl:definitions" Content=

</mex:GetMetadata>

<mex:GetMetadata>
  <mex:Dialect Type="wsdl:definitions"/>
  <mex:Dialect Content="http://www.w3.org/2010/08/ws-mex/Content/URI"/>
</mex:GetMetadata>
